    Terms of Service

    Last updated: March 2025  ·  Effective: March 2025

    1. Acceptance of Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sunnyside Video ("Company," "we," "us," or "our"), a marketing services business based in Connecticut, governing your access to and use of our website and AI-powered content strategy service (collectively, the "Service").

    By accessing or using our Service, you affirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

    2. Description of Service

    Sunnyside Video provides an AI-powered video content strategy tool. Users complete a structured online intake form, and our Service uses artificial intelligence to generate a personalized two-week short-form video playbook with six content ideas, scripts, captions, and production guidance.

    The Service is intended for marketing, educational, and business content creation purposes. All AI-generated content is provided as strategic guidance and is not guaranteed to produce any specific business outcome.

    3. User Responsibilities and Acceptable Use

    You agree to use the Service only for lawful purposes. You agree not to:

    • Submit information intended to generate false, misleading, defamatory, obscene, or illegal content;
    • Use the Service to generate content that violates the intellectual property rights of any third party;
    • Use the Service to create content that promotes discrimination, hate speech, or harassment;
    • Attempt to reverse-engineer, disassemble, or circumvent the technical measures protecting the Service;
    • Use automated tools (bots, scrapers) to access the Service without our prior written permission;
    • Misrepresent your identity or affiliation when using the Service;
    • Use the Service in any way that violates applicable Connecticut or federal law.

    We reserve the right to terminate your access if you violate these acceptable use provisions, without liability to you.

    4. Intellectual Property

    a. Your Content

    You retain all ownership rights to the business information, branding, and materials you upload to the Service. By uploading content, you grant us a limited, non-exclusive, royalty-free license to process that content solely for the purpose of delivering your content strategy.

    b. Generated Outputs

    The AI-generated content strategy, scripts, captions, and web Playbook delivered to you are provided for your personal and commercial use. You are responsible for reviewing all generated content for accuracy, appropriateness, and compliance with applicable laws before publishing or distributing it.

    c. Our Intellectual Property

    The Sunnyside Video name, logo, website design, software, and "Sunnyside Playbook" methodology are the intellectual property of Sunnyside Video. You may not reproduce, distribute, or create derivative works from our proprietary materials without express written permission.

    5. Marketing Communications and CAN-SPAM Compliance

    By providing your email address to receive your content strategy, you consent to receiving transactional emails related to your playbook delivery. If you subscribe to newsletter updates, you may also receive promotional communications. Any promotional communications we send will comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.), including:

    • Clear identification of the sender;
    • Accurate subject lines;
    • A valid physical postal address;
    • A clear and conspicuous opt-out mechanism.

    You may opt out of marketing emails at any time by clicking the unsubscribe link in any email or contacting us directly. We will honor opt-out requests within 10 business days as required by law.

    6. FTC Compliance — Marketing Agency Standards

    As a marketing services provider, we operate in compliance with Federal Trade Commission (FTC) regulations, including:

    • Endorsement and Testimonial Guidelines (16 C.F.R. Part 255): Any testimonials or case studies we display are truthful and reflect actual experiences. Material connections between endorsers and Sunnyside Video are disclosed.
    • Prohibition on Deceptive Advertising: We do not make false or misleading claims about the results our Service can produce. AI-generated content strategies are tools — actual results depend on the quality of execution, market conditions, and other factors outside our control.
    • Data Security Standards: We maintain commercially reasonable security practices consistent with FTC guidance on data security for businesses.

    7. Disclaimers and No Guarantee of Results

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

    We do not warrant that:

    • The AI-generated content strategies will produce specific follower growth, engagement, revenue, or other business outcomes;
    • Generated scripts, captions, or content ideas will be suitable for all platforms, audiences, or regulatory contexts;
    • The Service will be uninterrupted, error-free, or free from viruses or other harmful components.

    You are solely responsible for reviewing, editing, and complying with platform-specific rules (including FTC disclosure requirements) before publishing any AI-generated content.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUNNYSIDE VIDEO, ITS OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) one hundred dollars ($100.00).

    Some states, including Connecticut, may not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless Sunnyside Video and its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) content you upload or publish using outputs from the Service.

    10. Governing Law and Dispute Resolution

    These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut.

    Before initiating any legal proceeding, you agree to contact us in good faith at Jamil@sunnysidevideo.com to attempt informal resolution. Connecticut law also provides consumer protection rights under the Connecticut Unfair Trade Practices Act (CUTPA) (Conn. Gen. Stat. § 42-110a et seq.), which prohibits unfair or deceptive acts or practices in the conduct of trade or commerce.

    11. Modifications to the Service and Terms

    We reserve the right to modify these Terms at any time. Material changes will be communicated via email (to the address you provided) or by posting a notice on our website at least 14 days before the change takes effect. Your continued use of the Service after changes become effective constitutes your acceptance.

    We may also modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice, without liability to you.

    12. Severability and Entire Agreement

    If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sunnyside Video regarding the Service and supersede all prior agreements and understandings.
